These Terms of Use ("Terms") govern your access to and use of weareopenspace.com (the "Site"), operated by OpenSpace ("OpenSpace," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Operating entity. OpenSpace is currently operated as a trade name. Upon incorporation, these Terms will be updated to name the registered legal entity, which will assume them.

Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Site or submit information through it. The Site is intended for a general business audience and is not directed to children.

Use of the site

You may use the Site for lawful, personal, and informational purposes. You agree not to misuse the Site, including by attempting to gain unauthorized access, disrupting its operation, or using it in any way that violates applicable law or these Terms. Automated access by crawlers is governed by our published robots.txt and llms.txt; access that ignores those files or scrapes content at scale is not permitted.

Submissions

If you send us content through a form, email, or other submission, you grant OpenSpace a non-exclusive, royalty-free license to use that content for the purpose of responding to and managing your request. You represent that you have the right to share anything you submit and that it is not unlawful or infringing.

Intellectual property

The Site and its content, including text, design, graphics, logos, the OpenSpace name and marks, photography, and video, are owned by OpenSpace or its licensors and are protected by intellectual property laws. Some imagery is used under license from third parties. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written permission, except for brand assets we expressly make available for approved use.

Third-party content and links

The Site may reference third parties or link to external sites and services we do not control. We are not responsible for their content, products, or practices, and a link does not imply endorsement.

Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPENSPACE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE.

Indemnification

You agree to indemnify and hold harmless OpenSpace and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your violation of these Terms or applicable law.

Dispute resolution

Before filing any claim, you agree to first contact us at hello@weareopenspace.com so we can try to resolve the matter informally. We will work in good faith to resolve it within 30 days. If we cannot, the dispute will be handled as set out below.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to the dispute-resolution step above, any disputes will be subject to the courts located in New York, unless otherwise required by law.

Termination

We may suspend, restrict, or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or for any other reason at our discretion.

Changes

We may update the Site or these Terms at any time. Changes take effect when posted, and the version number and "last updated" date reflect the current version. Continued use of the Site means you accept the updated Terms.

General

Entire agreement. These Terms are the entire agreement between you and OpenSpace regarding the Site and supersede any prior understandings.
Severability. If any provision is found unenforceable, the remaining provisions stay in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them, including to an affiliated or successor entity, without your consent.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Survival. The Intellectual property, Disclaimer, Limitation of liability, Indemnification, and Governing law sections survive termination.
Notices. Legal notices to us should be sent to hello@weareopenspace.com. We may provide notices to you by posting on the Site.
